Finnalytics Client Agreement
1. Special Notice
1.1
'The Company', 'we', 'us', 'our' or 'ourselves' means unless otherwise advised in this agreement, Finnalytics.
'The User', 'you', 'your', 'yours' or 'yourself' means the person filling this registration form to apply to become our client.
1.2
Services provided via this website by Finnalytics are based on this Client Agreement. You must agree to all items of this agreement and complete the entire registration and payment process prior to using Finnalytics (万利迪思) software and services. Registering with us and using any Finnalytics software and service automatically acknowledge explicitly that you agree to this agreement and all its content.
2. Content of Services
2.1
Finnalytics(万利迪思)provides the following services via mobile portals and websites to registered clients: Portfolio Optimisation, Portfolio Management, Risk Analysis, Stress Test and all other associated data processing and analytic services. We reserve the right to change the content of our product functionalities and services. We also reserve the right to take necessary actions on accounts and clients that make malicious use of Finnalytics(万利迪思) products and services, and will take further legal actions if required.
2.2
You can use the Finnalytics products and services after and only after it is verified that fees are paid in full to your successfully registered and activated account.
3. Fees
3.1
We reserve the right to change the amount and accepted means of payment of fees on any product or service provided at any time.
4. Description of Services
4.1
We provide registered clients with the following services: Portfolio Optimisation, Portfolio Management, Risk Analysis, Stress Test and other associated data processing and analytic services.
4.2
The types of services available to clients depend on subscription types.
4.3
You have the right to obtain or decline certain product functionalities and services by accepting or declining to pay the fees corresponding to those products and services.
5. Termination of Services
5.1
Services will be suspended if we believe that your initial registration is incomplete or completed illegally or via means other than that provided by our online registration facilities. Please note that the registration fee is not refundable.
5.2
We reserve the right to remove your account should you violate any item in the User Agreement, all license of products and services associated to that account will also be terminated on removal of your account effect immediately. We reserve the right to take further legal action on clients involved in activities deemed illegal.
5.3
You agree that, any of the following activities by you without explicit grant from us would result in the termination of services and removal of your account with immediate effect. You may not modify, copy, distribute, transmit display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, product or service unless specified otherwise by us. Your account will be removed on identification of the aforesaid activities. We reserve the right to take further legal action.
5.4
You agree that, if your account is deemed to be registered with malicious intention, we have the right to remove this account and terminate the software licenses for products and services associated with it. We will take further legal action against the user on identification of such accounts.
5.5
You agree that, Finnalytics(万利迪思) has the right to terminate any service provided via the Finnalytics mobile portal and website at any time.
6. Modification to the Agreement
6.1
We may modify and update this Client Agreement from time to time due to change of business environment, development of the internet infrastructure, changes to government policies or any other unforeseeable circumstances. Any changes to this Client Agreement will be published on our website. By publishing the updated Client Agreement on our website, we effectively notifies you of the changes to this Agreement. We may notify you of changes to this Agreement via other methods as appropriate.
6.2
You can cancel any purchased services if you disagree with the changes to this Agreement. You are deemed to have accepted and agreed with the changes to this Agreement if you continue to use the services provided via the mobile portal and website after the aforesaid notification of changes is published.
7. Other Declarations
7.1
The services described in this Agreement is an integral part of the services identified in the Disclaimer. The Agreement serves the same legal purpose and takes the same legal stance as the Disclaimer.
7.2
This Agreement and other agreements and contracts that you enter with us together form the complete Terms and Conditions that you and us must adhere to during the effective period of the contract.

"The User", "you", "your", "yours" or "yourself" means the person who uses Finnalytics Portfolio Management Engine.
"The Software" means Finnalytics series financial analytics software including Finnalytics Optimiser, Finnalytics Manager, Finnalytics Stress.
This agreement is a software end user license agreement between Finnalytics and you. These terms and conditions apply to the aforesaid software, including the material and tools that you used to receive the Software. Unless specifically stated otherwise, these terms and conditions also apply to any
•update;
•patch;
• internet based service;
• support service.
that Finnalytics (万利迪思) provides to clients. In the case of other terms and conditions that may apply, those terms and conditions should be followed. This End User License Agreement is the extension of the Finnalytics(万利迪思) Client Agreement. This agreement, together with the Finnalytics (万利迪思) Client Agreement, extensions and additional notes to these terms and conditions, and terms and conditions that associates any update, patch, internet based service and support service provided by Finnalytics (万利迪思) to you the client, form the complete terms and conditions that apply to the Software and associated services.
By installing or using the Software in any way, you effectively explicitly declare that you accept and agree with these terms and conditions. If you do not accept or agree with these terms and conditions, please do not install or use these software.
As stated below, by using the Software you explicitly declare that you agree to the fact that data may be transmitted over the internet when you are using the software and internet based services associated with the software.
If you adhere to these terms and conditions, you as a fee-paying client will have the following right on a per license basis.
1. Overview
a. Software.The Software include Finnalytics Optimiser™, Finnalytics Manager™, Finnalytics Stress™ and any associated services.
b. Licensing Term。 According to the terms outlaid in section 2(b), the Software is licensed on a “One License Per Client” basis.
2. Installation and Usage
a. One account per client. Under any circumstance, the client should use the Software and associated services only after payment is made in full.
b. Number of clients. Unless stated explicitly otherwise, only one client can use the software under one account.
3. Internet based Services. Finnalytics (万利迪思) provides internet based services associated with the software. However, Finnalytics(万利迪思) has the right to change or cancel any of the associated services at any time.
a. Agreement to use internet based services. The client can log on to the Finnalytics (万利迪思) web server over the internet when using the software. Under certain circumstances, the client may not be explicitly notified when an internet connection is established. Using these services and functions declares that you agree to the fact that data may be transmitted over the internet.
b. Malicious usage of internet based services. You are prohibited to use the software and associated services in any way that may harm the orderly functioning of the software and services or may prevent others from using the software and associated services. You are prohibited from using the software and associated services to use any software package, function, service, data and any other Finnalytics(万利迪思) products and services related resources that you have not paid for or have been paid for by other clients other than you. These terms apply to you regardless whether you are a fully paid client of Finnalytics(万利迪思) or not.
4. Scope of the License. The Software is not sold to you in any way, the fee-paying client is licensed to use certain functions and associated services during the licensing period. Finnalytics(万利迪思) reserves all the rights related to the Software and associated services. You are granted the right to use the paid functions and services of the software in the scope explicitly defined in this license agreement. When using Finnalytics (万利迪思) software and services, you must adhere to all the technical limitations and usage terms defined in the Software, these terms and limitations only allow you to use the software and associated services in designated ways. You are prohibited by law to
a. Bypass any limitations or terms that associate with the Software and services;
b. Conduct malicious action against any part or the whole entity of the Software and any associated service;
c. Run any non-Finnalytics(万利迪思) product or service on the basis of, or, using part(s) of the Software and services and any other Finnalytics (万利迪思) product or service; d. Modify, backup, clone, distribute, remotely display, remotely demonstrate, copy, publish, re-sell, rent, lend the software and associated services.
You are also prohibited to act by any other non-authorised means on the basis of Finnalytics (万利迪思) software and services.
5. Upgrade. Any upgrade must be licensed and authorised before installation. You must not continue to use the previous version of the software after upgrade.
6. Support Services. Finnalytics (万利迪思) provides services to the software, however, if you are not a fee-paying client or your account has expired, you will not able to continue to use these services.
7. This agreement, together with the Finnalytics (万利迪思) Client Agreement, extensions and additional notes to these terms and conditions, and terms and conditions that associates any update, patch, internet based service and support service provided by Finnalytics (万利迪思) to you the client, forms the complete terms and conditions that apply to the Software and associated services that may come with those software.
8. Legal Notice. All Finnalytics (万利迪思) products and services are protected by law, Finnalytics (万利迪思) reserves the right to take legal action against any person or legal entity that is associated with illegal usage or malicious action on any Finnalytics (万利迪思) product or service.
